Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Member") and HealthPass by Legacy Health Network ("HealthPass," "we," "our," or "us"), governing your access to and use of our website, member portal, and all associated health benefit services (collectively, the "Services").

By accessing our website, submitting an enrollment form, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are enrolling on behalf of an employer or organization, you represent that you have the authority to bind that entity to these Terms.

Please read these Terms carefully. If you do not agree to these Terms, do not use our website or Services. Your continued use following any updates to these Terms constitutes acceptance of the revised Terms.
Section 02

Description of Services

HealthPass by Legacy Health Network is a direct-pay integrated health membership program that bundles ACA-compliant high-deductible health plan (HDHP) insurance, whole-person care services, and Health Savings Account (HSA) support into a single employer benefit package. Services available through HealthPass include, but are not limited to:

ACA-compliant group HDHP insurance — employer-sponsored health insurance satisfying the ACA employer shared responsibility requirements for qualifying employers
Whole-person care membership — direct-access services including chiropractic care, primary care telemedicine, dental, behavioral health, massage therapy, acupuncture, and gym membership through the Legacy Health Network
HSA account support — guidance and coordination for employee Health Savings Account setup and administration
ChiroFirst Alliance services — chiropractic care and related musculoskeletal services delivered through affiliated ChiroFirst Alliance providers
Member portal access — online tools for managing benefits, accessing care, and reviewing account information

The specific services available to you depend on your enrollment tier and employer plan configuration. HealthPass reserves the right to modify, add, or discontinue any service offering with reasonable notice to enrolled members.

Section 03

Eligibility

To be eligible to enroll in HealthPass Services, you must meet all of the following requirements:

Be at least 18 years of age, or have a parent or legal guardian enroll on your behalf
Be a U.S. resident legally authorized to reside in the United States
Be employed by or affiliated with an employer that has established a HealthPass benefit plan, or be eligible to enroll as an individual member where individual enrollment is available
Meet any additional eligibility criteria established by your employer's benefit plan documents
Not be enrolled in conflicting government-sponsored health programs that would prohibit HSA eligibility, where applicable

HealthPass reserves the right to verify eligibility and to deny or revoke enrollment if eligibility requirements are not met or if false information is provided during enrollment.

Section 04

Enrollment & Membership

Enrollment in HealthPass Services is subject to completion of all required enrollment forms, submission of accurate personal and employer information, and payment of applicable membership fees. Enrollment periods and effective dates are governed by your employer's benefit plan schedule or, for individual enrollees, by the enrollment terms in effect at the time of application.

Member Responsibilities
Provide accurate, complete, and current information during enrollment and promptly update us of any changes
Maintain the confidentiality of your member portal credentials and notify us immediately of any unauthorized access
Use Services only for lawful, personal health and wellness purposes
Comply with the policies and procedures of individual healthcare providers within the network
Notify HealthPass of changes in employment status, address, or dependent status that may affect your eligibility or coverage
Dependent Enrollment

Eligible dependents may be enrolled in certain HealthPass benefit tiers as permitted by your employer's plan. By enrolling dependents, you represent that they meet all applicable eligibility requirements and you accept responsibility for their use of the Services.

Open Enrollment & Qualifying Life Events

Changes to enrollment are generally permitted during the annual open enrollment period designated by your employer, or within 30 days of a qualifying life event (such as marriage, birth of a child, or loss of other coverage). Mid-year enrollment changes outside of these windows may not be permitted.

Section 05

Fees & Payment

Membership in HealthPass involves monthly fees that may be split between you and your employer as outlined in your benefit plan summary. By enrolling, you authorize the collection of applicable fees through payroll deduction (for employer-sponsored plans) or direct billing as applicable.

Fee Structure
Employee contributions — your portion of the monthly membership fee, typically collected via pre-tax payroll deduction
Employer contributions — your employer's contribution toward your coverage, as defined in the benefit plan documents
Insurance premiums — premiums for the ACA-compliant HDHP component, paid to the applicable insurance carrier
Late Payment & Non-Payment

Failure to maintain required payments may result in suspension or termination of your HealthPass membership and associated benefits. HealthPass will provide reasonable notice before taking any such action. You remain responsible for any services rendered prior to termination.

Fee Changes

HealthPass reserves the right to modify membership fees with at least 30 days' prior written notice. Fee changes will take effect at the next available enrollment or renewal period unless otherwise specified.

Pre-Tax Contributions: Depending on your employer's plan structure, your contributions may qualify for pre-tax treatment under IRS Section 125. Consult your employer's benefits administrator or a qualified tax advisor for guidance specific to your situation.
Section 06

Insurance & Benefits Disclaimer

The ACA-compliant HDHP insurance component of the HealthPass bundle is underwritten and administered by a licensed third-party insurance carrier. HealthPass by Legacy Health Network is not an insurance company. The terms, conditions, exclusions, and limitations of your insurance coverage are governed exclusively by your insurance policy documents issued by the carrier.

The whole-person care membership component — including chiropractic, telemedicine, dental, behavioral health, massage, acupuncture, and gym access — is a direct-pay membership benefit, not insurance. These services are provided at no additional copay or deductible to enrolled members within the HealthPass network, subject to fair use policies and provider availability.

Important: HealthPass membership services are not a substitute for comprehensive health insurance. The HDHP component provides insurance coverage for major medical events subject to the plan's deductible, out-of-pocket maximum, and covered benefit schedule. Please review your Summary of Benefits and Coverage (SBC) provided by the insurance carrier for full details.

HealthPass does not guarantee the availability of any specific provider, specialist, or service within the network. Provider participation is subject to change. We will endeavor to provide reasonable notice of significant network changes.

Section 07

Acceptable Use

You agree to use our website, member portal, and Services only for lawful purposes and in accordance with these Terms. You agree not to:

Provide false, misleading, or fraudulent information during enrollment or when using Services
Use another person's membership credentials or enroll ineligible individuals
Attempt to gain unauthorized access to our systems, member data, or restricted areas of our website
Use automated tools, bots, or scrapers to access or collect information from our website or portal
Interfere with or disrupt the integrity or performance of our Services or underlying infrastructure
Use the Services for any commercial purpose other than as intended under your enrollment agreement
Transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
Violate any applicable federal, state, or local laws or regulations

Violation of these acceptable use standards may result in immediate suspension or termination of your membership without refund, and may be referred to appropriate legal authorities.

Section 08

Intellectual Property

All content on the HealthPass website and member portal — including text, graphics, logos, icons, images, design elements, and software — is the property of HealthPass by Legacy Health Network or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website and member portal solely for personal, non-commercial purposes related to your enrollment and use of our Services. This license does not include the right to reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit any content from our website or Services without our express written permission.

"HealthPass," "Legacy Health Network," "ChiroFirst Alliance," and associated logos are trademarks of their respective owners. Nothing in these Terms grants you any right to use these marks without prior written authorization.

Section 09

Privacy & HIPAA

Your use of our Services is also governed by our Privacy Policy and, where applicable, our HIPAA Notice of Privacy Practices. These documents are incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in those documents.

Disclaimers

No Medical Advice

HealthPass by Legacy Health Network is a benefits administrator and membership program — not a healthcare provider. Nothing on our website or in our member materials constitutes medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional for any medical condition or health concern.

No Warranty

Our website and Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or other harmful components.

Third-Party Services

HealthPass is not responsible for the quality, accuracy, safety, or legality of services provided by third-party healthcare providers, insurance carriers, HSA administrators, or other partners within our network. Your interactions with these parties are governed by their own terms and policies.

Section 11

Limitation of Liability

To the fullest extent permitted by applicable law, HealthPass by Legacy Health Network, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of revenue, loss of data, loss of goodwill, or costs of substitute services — arising out of or related to your use of, or inability to use, our Services, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Services exceed the total membership fees you paid to HealthPass in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by applicable law.
Section 12

Indemnification

You agree to indemnify, defend, and hold harmless HealthPass by Legacy Health Network, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of or access to the Services
Your violation of these Terms
Your violation of any applicable law, regulation, or third-party rights
Any false or misleading information you provided in connection with your enrollment or use of Services
Section 13

Termination

Termination by You

You may cancel your HealthPass membership at any time by providing written notice to us or through your employer's HR administrator, subject to any notice periods required by your benefit plan. Cancellation will take effect at the end of the current billing period unless otherwise required by law or your plan documents.

Termination by HealthPass

We reserve the right to suspend or terminate your membership and access to Services at any time, with or without cause, with reasonable prior notice where practicable. Grounds for termination may include violation of these Terms, non-payment of fees, loss of employment eligibility, fraudulent activity, or changes to our service offerings.

Effect of Termination

Upon termination or cancellation, your right to access the member portal and use covered Services will cease. Any provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution — will continue to apply.

Section 14

Disputes & Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Jackson County, Oregon.

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us in writing to describe your dispute and allow us 30 days to attempt an informal resolution. Many concerns can be resolved quickly and informally without the need for formal legal action.

Class Action Waiver

To the fullest extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against HealthPass. All disputes must be brought in your individual capacity only.

Limitation on Claims

Any claim arising out of or related to these Terms or the Services must be filed within one (1) year of the date the claim arose, or it will be permanently barred, regardless of any statute of limitations to the contrary.

Section 15

Changes to These Terms

HealthPass reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify enrolled members by email or through a prominent notice in the member portal.

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of our Services.
